Czech Republic – Company Registration

The following procedures are required to incorporate your Sro company in the Czech Republic.

The first step to incorporating your company is check the availability of your proposed company name.

Check company name

Company names in the Czech Republic must be pre-approved for
availability and acceptability, we check your proposed company name with
the Registry of the Regional Commercial Court.

Criminal Record Clearance

Obtain certificates of clear criminal record for managers, this applies only to the extract from the Czech Criminal Register and not foreign criminal registers (which are also required should the director be a foreign person)

Real Estate Register Clearance

Proof that the company’s registered office is a real office is required. If the landlord is a legal entity it is recommended to submit its extract from the Commercial Register.

Notarial Work

The company statutes must be signed in front of a notary.

Clearance that the Share Capital is in the Bank Account

All share capital is held at the bank during the company incorporation.

Trade Licences

For general commercial activity all you need is notification. Some professions require clearance.

Notarise Articles of Association

The notary public is responsible for the compliance of the contents of the company’s Articles of Association. The notary public requires the following documents prior to the execution of the Articles of Association: clean criminal record, affidavit of the Managers, confirmation of the registered office, along with an extract from the Real Estate Register for the premises.

Obtain Trade licenses

A company must have the appropriate trade licenses to conduct its business. Before obtaining trade licenses, a company may be asked to provide proof of relevant professional qualifications and experience.

Registration of the company to the Commercial Register

With registration of the company to the Commercial Register, the motion to the relevant Regional Court must be signed by all first Managers in front of a notary public and then submitted.

Income tax registration is immediate, the company receives the number when they submit the application.
